On or about June 10, 2022, Panos Fitness Of Onondaga, LLC ("Seller") for valuable 15 consideration, executed a Future Receivables Purchase and Sale Agreement, agreement number 16 FWC609714, with Plaintiff (the "FRPSA"), whereby Seller agreed to sell, assign and transfer in a 17 finite amount of Seller's future receivables in the amount of $83,184.92 (the "Purchased Amount") 18 to Plaintiff in exchange for the purchase price of $63,500.00 (the "Purchase Price"). A true and "1" 19 correct copy of the FRPSAis attached hereto as Exhibit andincorporated herein by reference. 20 8. The FRPSA provides that Plaintiff has purchased all of Seller's right, title and 21 interest in 10% of Seller's Future Receivables (the "Purchased Percentage"). Seller agreed to remit 22 to Plaintiff the Purchased Percentage of its Future Receivables weekly up to the full Purchased 23 Amount has been delivered to Plaintiff. 24 9. On or about June 10, 2022, DEANPANOS (herein "Guarantor") executed and 25 delivered to Plaintiff a written guaranty ('Guaranty") by which he guaranteed to Plaintiff personal 26 performance of all of the obligations of Seller then owing or thereafter incurred, together with attorneys' 27 accrued interest, costs and fees incurred in the collection thereof and for the enforcement 28 of the Guaranty.
