25 1. Plaintiff is a licensed lender in the state of California, incorporated in the State of
26 Califbrnia with its principal place of business in San Diego, California.

2 INC. is a Corporation registered in the state of Delaware and is doing business in Roxbury
3 Crossing, Massachusetts.

5 WHITE is an in dividual residing in Bronx, New York.
6 4. PlaintiE does not know the true names or capacities of Defendants Does 1 through
7 10, inclusive. Plaintiff is informed and believes and thereon alleg es that each of the Defendants
8 herein designated as a Dee 1 through 10 has or claims some interest in the busines s or had
9 involvement in the issuance of the loan des cribe d below. T hen the true name of the Dee Defendant
10 is discovered, this complaint will be amended accordingly. The Doe Defendants are sue d pursuant
11 to California Code of Civil Proce dare § 474.
12 JURISDICTIONAND VENUE
13 5. The obligations under which this action is brought were incurred by Defendants,
14 entered into by Defendants and to be perfonned by the parties in the State of California and none of
15 the Defendants reside in the State of California. This Court has jurisdiction ever the subject matter
16 hereof and venue is proper in this forum under California Code of Civil Procedure § 395(a).
17 6. The causes of action sued upon are not subject to Civil Code § 1812.10 or 2984.4.
18 FIRST CLAIMFOR RELIEF
19 (Breach of Settlement Agreement against All Defendants)
20 7. PlaintiEincorporates the allegations contained in Paragraphs 1 through 6, inclusive,
21 as though fully set forth herein.
22 8. On or about March 10, 2023, TRILLFIT, INC. and HEATHER WHITE
23 (collectively, "Defendants") executed a Settlement Agreement with Plaintiff (the "Settlement
24 Agreement"), whereby Defendants agreed to pay Plaintiff the total amount of $157,300.00 in
25 consecutive weekly installments in exchange for a release of claims against them A true and

1 9. On or about March 31, 2023, Defendants defaulted on the Settlement Agreement by
2 failing to make payments when due and have continuously remained in default and $157,300.00
3 remains due and payable.
4 10. Plaintiff has performed all conditions and promises requiredto be performed on its
5 part under the terms of the Settlement Agreement.

6 11. As a proximate result of breach of the Settlement Agreement, Plaintiff
7 has been damaged in the principal sum of not less than $157,300.00 plus prejudgment interest
8 thereon, from the date of default until paid.
9 12. The Settlement Agreement provides that Defendants will pay Plaintiff s reasonable
attorneys'
10 fees and costs incurred in enforcing the terms of the Settlement Agreement. It has
