Docket No.: GLO-L-1054-22 Dear Judge Chell: The undersigned represents the plaintiff in the above referenced matter, in which the Motion to Dismiss for Lack of Personal Jurisdiction filed by Defendants Nurick Law Group, LLC and Todd B. Nurick is currently pending with a motion date of September 8, 2023. I write to respectfully request that the Court permit the attached amendment to Plaintiff’s previously filed Certification of Counsel in support of Plaintiff’s Opposition to the Nurick Defendants’ pending motion due to errors evident in the uploaded files. While I made several attempts to upload both the Brief and Certification of Counsel with Exhibits A-M referenced therein to eCourts on August 22, 2023, in compiling the courtesy copy to send to the Court and counsel, I saw that the uploaded version of the Certification of Counsel is missing all but a couple of pages of one exhibit. Due to a regional power outage that caused us to shut down our firm’s server on August 23, 2023, I did not see this error until today, and therefore am attempting to upload the attached full version of the Certification of Counsel with all referenced exhibits, 18000 Horizon Way, Suite 800, Mt. This matter was opened to the Court by Plaintiff’s Complaint alleging legal malpractice (Count I), common law fraud (Count II), breach of contract (Count III) and unauthorized practice of law pursuant to N.J.S.A. 2C:21-22a (Count IV), with a request for specified declaratory and equitable relief (Count V), against Defendants Nurick Law Group, LLC and Todd B. Nurick (the “Nurick Defendants”) as well as Defendant Catherine Damavandi (“Defendant Damavandi”), arising from the defendants’ underlying representation of Plaintiff in an employment matter. The Nurick Defendants previously filed a Motion to Dismiss Plaintiff’s Complaint for Lack of In Personam Jurisdiction, which motions the Court denied without prejudice due to the disputed material facts which the Court would need to resolve to determine whether the defendants: a. Held themselves out as qualified to render New Jersey legal advice by virtue of their website advertisement; b. Rendered advice to Plaintiff as to which forum state would be appropriate for the underlying litigation; c. The nature of the contacts that the Nurick Defendants had with New Jersey related to the capability of conducting business in New Jersey for the underlying litigation; and d. Whether the Nurick Defendants’ purposefully availed themselves of the privilege of conducting activities within New Jersey such that they could reasonably anticipate being sued in New Jersey courts. A true and correct copy of the Court’s February 6, 2023 Order is attached hereto as Exhibit “B.” 3. At the time Plaintiff filed his Complaint, Defendant Nurick Law Group, LLC (“NLG”) advertised on its website as follows: We are attorneys with experience in all types of law. As of the date of this filing, Defendant NLG’s website has been edited to remove each of the statements above which had advertised the firm and its attorneys capabilities to render legal services in New Jersey specifically as well as in “almost any jurisdiction.” A true and correct copy of the home page of www.nuricklawgroup.com as of August 22, 2022 is attached hereto as Exhibit “D.” 5. At the time Plaintiff filed his Complaint, Defendant NLG’s website advertised under “FIRM LEADERSHIP” that “Bradley S. Dowlin, Esquire is a general practitioner at the Nurick Law Group” and that Attorney Dowlin is “[l]icensed in Pennsylvania and New Jersey.” A true and correct copy of the webpage www.nuricklawgroup.com/about_bradley_dowlin.asp as of August 11, 2022 is attached hereto as Exhibit “E.” 6. As of the date of this filing, Defendant NLG’s website has removed any reference to any jurisdictions of practice, or any attorneys other than Defendant Todd B. Nurick, under “FIRM LEADERSHIP.” A true and correct copy of the webpage of www.nuricklawgroup.com/about.asp as of August 22, 2022 is attached hereto as Exhibit “F.” 3 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 6 of 15 Trans ID: LCV20232438241 7. During jurisdictional discovery, Defendant Todd B. Nurick testified at deposition that, at all times, he has been and remains the sole owner of Defendant Nurick Law Group, LLC. 1 (Exhibit F, Nurick Tr. at 18:22-19:6). 8. Defendant Todd B. Nurick further testified that he would provide updates to their website vendor when he lost or gained a contracting attorney to reflect in which jurisdictions the attorneys in the firm practiced, adding or deleting jurisdictions “to reflect the current makeup of the firm.” (Id. at 26:9-27:11). 9. When asked why he provided the jurisdictions of practice of the firm’s attorneys on the firm’s website, Defendant Todd B. Nurick testified that it was to provide a “[p]icture of who we were to the public.” (Id. at 29:5-17). 10. Defendant Todd B. Nurick testified that he has maintained and still maintains a New Jersey IOLTA account for Defendant NLG to “handle client funds from New Jersey and operate in New Jersey, to comport with New Jersey law ....” (Id. at 56:5-57:11). 11. He further testified that that he never closed the New Jersey IOLTA account “[b]ecause I’ve had attorneys who are New Jersey attorneys, and if a client ever came to me, prior client, I wanted to be able to address their cases without having to reopen an account.” (Id. at 58:1-16). 12. Defendant Todd B. Nurick testified that Defendant NLG had handled two (2) New Jersey legal matters prior to Plaintiff’s representation, including the formation of a business in New Jersey and a DUI charge in New Jersey, handled by a former contracting attorney with the firm, Brian M. Andris (“Andris”). (Id. at 47:8-48:1). 1 A true and correct copy of the miniature transcript of Defendant Todd B. Andris, however, testified at his deposition that he worked on “a handful of New Jersey matters” while he worked for Defendant NLG, which he recalled to be personal injury matters. 2 (Exhibit G, Andris Tr. at 11:10-17, 28:15-21). 14. Andris testified that the only matters he recalled working on while at Defendant NLG were those originated by Defendant Todd B. Nurick, and that he (Andris) did not personally bring any New Jersey cases to the firm. (Id. at 28:22-29:14). 15. Andris testified that one of the New Jersey matters he worked on was a lawsuit filed in New Jersey Superior Court, Law Division, but he could not recall which county or in what year the matter was filed. (Id. at 29:15-30:9). 16. Andris further testified that he would work on matters with other contracting attorneys at Defendant NLG while he worked there, including Defendant Damavandi. (Id. at 12:19-14:1). 17. Another New Jersey matter Andris recalled working on at Defendant NLG was a “biker law” matter arising out of an effort Todd B. Nurick made to expand the firm’s practice, which effort included a marketing investment to place the firm’s name on a motorcycle to be featured on a Discovery Channel television show, American Choppers. (Id. at 14:2-15:12, 29:6- 14). 18. Though he had no independent recall of Plaintiff’s matter, Andris testified that the billing records he submitted for Plaintiff’s underlying representation indicated that he participated in a “conference with Catherine [Damavandi] and Todd [B. (Id. at 23:2-19 and Andris Exhibit 1 thereto, attached hereto as Exhibit “I.”). 19. Andris was the first attorney listed in the signature block of the original complaint filed by Defendants on Plaintiff’s behalf in the Court of Common Pleas for Philadelphia, Pennsylvania, followed by Defendant Damavandi and then Defendant Todd B. Nurick on October 25, 2019. A true and correct copy of the original complaint Defendants filed on Plaintiff’s behalf is attached hereto as Exhibit “J.” 20. A true and correct copy of Defendant NLG’s Response to Plaintiff’s First Request for Admissions (“Plaintiff’s 1st RFAs to Defendant NLG”), with Exhibits 1-5 appended thereto and referenced therein, is attached hereto as Exhibit “K.” 21. Defendant NLG admits that the timesheets appended to Plaintiff’s 1st RFAs to Defendant NLG as Exhibit 1 were provided to Plaintiff by Defendant NLG with invoices billed to Plaintiff for the legal work and/or legal services reflected in the timesheets. Exhibit K at No. 14 and Ex. 1 thereto. 22. Defendant NLG admits that the “left-most column on the timesheets ... reflect the dates on which Nurick Law Group, LLC claims that attorneys Catherine Damavandi and/or Brian M. Andris performed legal services and/or legal work on behalf of Philip DelPalazzo from July through October 2019.” Exhibit K at No. 15 and Ex. 1 thereto. 23. Defendant NLG admits that the middle column on the timesheets ... reflect the description of the legal services and/or legal work which Nurick Law Group, LLC claims that attorneys Catherine Damavandi and/or Brian M. Andris performed on behalf of Philip DelPalazzo on each of the dates appearing to the left of each description from July through October 2019.” Exhibit K at No. 16 and Ex. 1 thereto. 6 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 9 of 15 Trans ID: LCV20232438241 24. Defendant NLG admits that the “initials ‘CCD’ appearing above various tables of entries in the timesheets ... reflect that the time entries in the table directly underneath the appearance of the initials ‘CCD’ were entries reflecting work performed by Catherine Damavandi.” Exhibit K at No. 18 and Ex. 1 thereto. 25. Defendant NLG admits that the “initials ‘BMA’ appearing above various tables of entries in the timesheets ... reflect that the time entries in the table directly underneath the appearance of the initials ‘BMA’ were entries reflecting work performed by Brian M. Andris.” Exhibit K at No. 19 and Ex. 1 thereto. 26. Defendant NLG admits that the “initials ‘TBN’ appearing in the entry dated ‘8/15/19’ appearing in the table underneath ‘DELPALAZZO TIMESHEET – AUGUST 2019 (BMA)’ as shown in [the timesheets] refers to Todd B. Nurck [sic].” Exhibit K at No. 22 and Ex. 1 thereto. 27. Defendant NLG admits that the billing records reflect that Defendant Damavandi and Andris discussed coverage of Plaintiff’s hearing before the New Jersey Department of Labor regarding Plaintiff’s eligibility for unemployment benefits on August 17, 2019. Exhibit K at No. 24 and Ex. 1 thereto. 28. Defendant NLG admits that the “time entry dated ‘8/20/19’ appearing in the table underneath ‘DELPALAZZO TIMESHEET – AUGUST 2019 (BMA)’ ... refers to a meeting between Brian M. Andris and Catherine Damavandi to discuss preparing for an appeal of a determination in a New Jersey Department of Labor proceeding regarding Philip DelPalazzo’s eligibility for unemployment benefits.” Exhibit K at No. 26 and Ex. 1 thereto. 29. Defendant NLG admits that the “time entry dated ‘8/21/19’ appearing in the table underneath ‘DELPALAZZO TIMESHEET – AUGUST 2019 (CCD)’ ... refers to a request made 7 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 10 of 15 Trans ID: LCV20232438241 by an attorney at the Nurick Law Group, LLC for the New Jersey Department of Labor’s records relating to Philip DelPalazzo’s application for unemployment benefits.” Exhibit K at No. 28 and Ex. 1 thereto. 30. Defendant NLG admits that Defendant Damavandi emailed the following message to Plaintiff on August 12, 2019: Hi Phil-- Hope everything went well today. Here's the language to use for the online appeal form, for the question of why you're disputing the Notice of Determination. I did not voluntarily leave my job. I asked for a meeting with my employer to discuss my concerns about ethical issues at the company. I was told by Human Resources that the meeting would be on July 10, 2019. When I went to the meeting to talk about those ethical issues, my employer took retaliatory actions against me. My employer acted in a very threatening manner, put a typewritten "resignation" letter in front of me that I never wrote, and forced me to sign it. Defendant NLG admits that “Catherine Damavandi’s August 12, 2019 email to Philip DelPalazzo ... provides Philip DelPalazzo with language for him to use in filling out an online appeal form for submission in a New Jersey Department of Labor proceeding regarding Philip DelPalazzo’s eligibility for unemployment benefits.” Exhibit K at No. 41 and Ex. 2 thereto. 8 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 11 of 15 Trans ID: LCV20232438241 32. Defendant NLG admits that Defendant Damavandi emailed Plaintiff on August 15, 2019 confirming that they had Plaintiff covered for his hearing in a New Jersey Department of Labor proceeding scheduled for August 22, 2019 regarding his eligibility for unemployment benefits. Exhibit K at Nos. 43-44. 33. Defendant NLG admits that Defendant Damavandi had Plaintiff sign a release form on August 21, 2019 authorizing the New Jersey Department of Labor to send both Defendant Damavandi and Andris the records regarding his unemployment benefits proceeding to them at Defendant NLG. Exhibit K at Nos. 45-47. 34. Defendant NLG admits that Defendant Damavandi both requested and received Plaintiff’s records from the New Jersey Department of Labor regarding his unemployment benefit proceeding. Exhibit K at Nos. 48-49. 35. Defendant NLG admits that it provided Plaintiff with legal representation in connection with New Jersey Department of Labor proceedings related to his eligibility for unemployment benefits in August 2019. Exhibit K at No. 51. 36. Defendant NLG admits that on September 18, 2019, Defendant Damavandi drafted a memorandum for Plaintiff to send to Fred Hutchinson, CEO of Hutchinson Plumbing Heating and Cooling to confirm that Plaintiff was not subject to any prior non-compete agreements. Exhibit K at No. 54. 37. Defendant NLG admits that on September 20, 2019, Defendant Damavandi reviewed and provided comments and advice to Plaintiff regarding a non-disclosure and non- compete agreement and restrictions proposed by Hutchinson to Plaintiff in connection with prospective employment. Exhibit K at Nos. 56-66 and Ex. 5 thereto. 9 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 12 of 15 Trans ID: LCV20232438241 38. Defendant NLG admits that Hutchinson’s manager’s email signature indicates that both his office and mobile telephone numbers have “856” area codes. Exhibit K at No. 67. 39. Defendant NLG admits that the document appended to the Plaintiff’s 1st RFAs to Defendant NLG as “Exhibit 6” is a true and correct copy of the “Non Disclosure and Non Compete Agreement” that was the subject of Defendant Damavandi’s review and advice to Plaintiff in September 2019 with respect to prospective employment at Hutchinson. Exhibit K at No. 73 and Exhibit 6 thereto. 40. Defendant NLG admits that the Hutchinson Non Disclosure and Non Compete Agreement proposed to Plaintiff in September 2019 contains the following language within Paragraph 6(a): The validity, interpretation, construction, and performance of this Agreement shall be governed by the domestic substantive laws of the State of New Jersey without giving effect to any choice or conflict of laws provisions or Rules that would cause the application of the domestic substantive laws of any other jurisdiction. *** The Employee consents to the jurisdiction of the courts of the State of New Jersey and to accept service of process by United States mail. Exhibit K at No. 75 and Exhibit 6 thereto (emphases added). 41. Defendant NLG admits that Defendant Damavandi “provided legal advice” to Plaintiff regarding the agreement proposed by Hutchinson in connection with prospective employment and that this agreement designated the State of New Jersey for choice-of-law. Exhibit K at Nos. 76-77. 42. Defendant NLG admits that Defendant Damavandi provided advice and a draft letter for Plaintiff’s use with respect to his concern regarding a customer safety issue arising 10 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 13 of 15 Trans ID: LCV20232438241 from a transaction with a Best Buy store located in Deptford, New Jersey on September 18, 2019. Exhibit K at Nos. 78-81. 43. Defendant NLG admits that the “time entry dated ‘8/15/19’ appearing in the table underneath ‘DELPALAZZO TIMESHEET – AUGUST 2019 (BMA)’ ... refers to a discussion among Brian M. Andris, Catherine Damavandi and Todd B. Nurick regarding how to proceed with claims to be brought on behalf of Philip DelPalazzo against his former employer.” Exhibit K at No. 31 and Ex. 1 thereto. 44. Defendant Damavandi’s September 26, 2019 time entry indicates that she discussed the status of Plaintiff’s underlying case with Defendant Todd B. Nurick and Andris, and that two (2) days later, she finalized Plaintiff’s underlying complaint. Exhibit K at Ex. 1 thereto (September 2019 entries). 45. Plaintiff testified at his deposition that Defendant Damavandi told him at the outset of the underlying representation that she would check into all four states in which Horizon, Plaintiff’s former employer, was located (specifically, Delaware, Maryland, New Jersey and Pennsylvania) to determine “what would be most advantageous” for Plaintiff’s case and that she advised that Pennsylvania would be the best state” in which to file Plaintiff’s case against Horizon. 3 (DelPalazzo Tr. at 44:16-45:9). 46. Plaintiff further testified that Defendant Damavandi specified that “Pennsylvania had better laws that would be more advantageous to [Plaintiff] and that New Jersey did not.” (Id. at 45:12-17). 3 A true and correct copy of the miniature transcript of Plaintiff Philip DelPalazzo’s May 2, 2023 deposition (“DelPalazzo Tr.”) is attached hereto as Exhibit “L.” 11 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 14 of 15 Trans ID: LCV20232438241 47. Plaintiff further testified that Defendant Damavandi advised that Pennsylvania was more advantageous for Plaintiff’s whistleblowing case than the other states, including New Jersey. (Id. at 46:22-47:2). 48. Plaintiff testified that Defendant Damavandi’s advice to Plaintiff that his whistleblowing case should be filed in Pennsylvania under Pennsylvania law was discussed over multiple telephone conversations between July 10, 2019 until his lawsuit was originally filed by Defendants. (Id. at 47:6-20). 49. Plaintiff further testified that 90% of his work for Horizon was for customers in New Jersey. (Id. at 55:2-24). 50. Plaintiff further testified that other than his work which took place on-site at customer homes, 90% of which were located in New Jersey, Plaintiff also had to attend meetings and turn in paperwork at Horizon’s New Jersey office, in which he estimated he spent approximately ten (10) hours per week. (Id. at 56:3-57:12). 51. Plaintiff further testified that Defendant Damavandi drafted a letter for his use to a New Jersey Best Buy store regarding a customer safety concern in September 2019 in which she set forth Plaintiff’s New Jersey address, at which Plaintiff has resided at all times relevant hereto. (Id. at 66:15-67:14). 52. Plaintiff further testified that when he first discussed his potential claims against Horizon with Defendant Damavandi, he informed her that: a. He lived in New Jersey; b. He reported to a New Jersey office of Horizon; c. The majority of his work was performed in New Jersey for Horizon; 12 GLO-L-001054-22 08/25/2023 2:18:38 PM Pg 15 of 15 Trans ID: LCV20232438241 d. When he made his whistleblowing complaint internally at Horizon it was to the Human Resources representative in Horizon’s New Jersey office; and e. At the time of his whistleblowing complaint, he was working 100% of the time in New Jersey and reporting what he believed to be the fraudulent practices of Horizon service technicians working in customer homes in New Jersey. (Id. at 76:5-82:12). 53. Plaintiff further testified that Damavandi advised him that the conduct he was reporting at Horizon violated New Jersey law. (Id. at 83:5-21). 54.
